. Your breach or alleged breach of these Terms of Service.
. Your violation of any applicable law, regulation, or third-party right (including but not limited to intellectual property, privacy, publicity, or contractual rights).
. Any content, data, or materials you submit to or through the Service, including any User Content that causes damage to a third party.
. Your use of the Service in a way that is unlawful, fraudulent, negligent, harmful, or otherwise in violation of our Acceptable Use (Prohibited Uses) policy.
. Your interaction with other users or third parties through the Service, including any disputes, transactions, or damages arising from such interactions.

12.2 Defense and Settlement

Easeon reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you.
If we choose to do so, you agree to cooperate fully in asserting any available defenses and in the conduct of such defense.

You may not settle or compromise any claim without our prior written consent, unless the settlement:

. Fully and unconditionally releases Easeon from all liability; and
. Does not impose any financial or non-financial obligations on us.

12.3 Continuing Obligation

Your indemnification obligations under this section shall survive:

. Termination of your account;
. Cessation of your use of the Service;
. The expiration or termination of these Terms.

These obligations apply regardless of whether a claim arises during or after your use of the Service.

13. Termination

13.1 Termination by You (Voluntary)

You may terminate your account and cease using the Service at any time by:

. Logging into your account settings and selecting “Delete Account”, or
. Contacting us directly at p.schoonbrood@easeon.eu with a clear request for account termination.

Upon termination:

. Your access to the Service will be revoked.
. Any content or data associated with your account may be deleted or become inaccessible, unless otherwise stated in our Privacy Policy.
. You remain responsible for any outstanding charges or obligations incurred before the effective date of termination.

Please note: Terminating your account does not automatically cancel your subscription plan. You must follow the separate cancellation process described in Section 7 to avoid future billing.

13.2 Termination by Easeon (For Cause)

We reserve the right to immediately suspend, restrict, or terminate your access to the Service with or without notice if we determine, at our sole discretion, that you have:

. Violated any provision of these Terms;
. Engaged in behavior that is abusive, fraudulent, harmful, or unlawful;
. Misused the Service in a way that disrupts or negatively impacts other users;
. Infringed on our intellectual property or that of any third party;
. Failed to pay applicable subscription fees when due.

We may also terminate or suspend your account in response to law enforcement or regulatory requirements, or in order to protect the integrity and security of the platform or other users.

In the event of termination for cause, you will not be entitled to a refund of any paid fees, and your license to use the Service will be revoked immediately.

13.3 Termination by Easeon (For Convenience)

We reserve the right to terminate the Service or your access to it for any reason and at any time by providing you with at least 30 days’ notice via email or through your account dashboard.

If we discontinue the Service or terminate your account without cause, and you have an active paid subscription, we will provide a prorated refund for the unused portion of your subscription at the time of termination.

13.4 Effects of Termination

Upon termination, whether by you or Easeon:

. Your license to use the Service and access Content will immediately cease.
. Your personal data will be handled in accordance with our Privacy Policy, including applicable data retention or deletion protocols.
. Any outstanding payment obligations you incurred prior to termination will remain in effect.

13.5 Survival of Terms

The following sections will survive the termination of this Agreement for any reason:

. Section 8 (Intellectual Property)
. Section 9 (Privacy & Data Protection)
. Section 10 (Prohibited Uses)
. Section 11 (Disclaimers & Limitation of Liability)
. Section 12 (Indemnification)
. Section 16 (Dispute Resolution)
. Any other provisions that, by their nature, are intended to survive

14. Modifications to Service or Terms

14.1 Modifications to the Service

This includes but is not limited to:

. Adding, changing, or removing features or functionalities.
. Introducing new services, tools, or subscription plans.
. Discontinuing or ceasing to offer the Service or specific plans.

We may also impose limits on certain features or restrict your access to parts or all of the Service without liability or obligation to provide compensation, refunds, or prior notice, except where required by law or expressly stated in these Terms.

14.2 Modifications to the Terms

We may revise, update, or amend these Terms at any time at our sole discretion.
When we make material changes to the Terms:

- We will notify you by one or more of the following methods:

. Posting the updated Terms on our website.
. Sending you an email notification.
. Displaying a notice within the Service.

It is your responsibility to review these Terms periodically to stay informed of any changes.

14.3 Effective Date of Changes

Changes to the Terms will become effective:

. Immediately upon posting, unless otherwise stated.
. In the case of material changes, within a reasonable time after notification (typically 14 to 30 days).

Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.
If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Service and, if applicable, cancel your subscription.

14.4 No Obligation to Maintain Features

We are not obligated to continue offering any specific feature, functionality, or content and may remove, update, or modify such aspects at our sole discretion.
We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part thereof.

15. Governing Law & Jurisdiction

15.1 Governing Law

These Terms of Service, your use of the Service, and any dispute or claim arising out of or in connection with them (whether contractual, tortious, statutory, or otherwise) shall be governed by and construed in accordance with the laws of The Federal Republic of Germany, without regard to its conflict of laws principles.

You agree that the laws of Germany will apply regardless of where you reside or access the Service.

15.2 Jurisdiction

Any disputes, claims, or legal proceedings arising out of or relating to these Terms, the Service, or your relationship with Easeon shall be subject to the exclusive jurisdiction of the competent courts of Berlin, Germany.

You and Easeon irrevocably agree to submit to the personal and exclusive jurisdiction of these courts and waive any objection to venue or jurisdiction based on inconvenience or any other grounds.

15.3 Consumer Protection Notice (if applicable)

If you are a consumer residing in a country of the European Union, you may be entitled to bring a claim in your local jurisdiction under applicable consumer protection laws.
Nothing in these Terms shall affect your statutory rights as a consumer.

15.4 Language

These Terms and all related documents and communications will be in the English language.
Any translated versions are provided for convenience only, and the English version shall prevail in the event of any conflict or inconsistency.

16. Dispute Resolution

16.1 Informal Resolution First

Before initiating any formal dispute proceedings, both you and Easeon agree to make a good faith effort to resolve any claim, dispute, or controversy informally.

You agree to first contact us at p.schoonbrood@easeon.eu with a detailed description of the issue, including:

. The nature of the dispute,
. Relevant facts or context,
. The relief or outcome you are seeking.

Easeon will make reasonable efforts to respond within 10 business days and work toward a resolution within 30 days from the date the dispute was initiated.

Only if the dispute cannot be resolved informally within this timeframe may either party proceed with legal action, as outlined below.

16.2 Court Proceedings in Germany

If an informal resolution is unsuccessful, you agree that any legal proceedings relating to these Terms, your use of the Service, or any dispute between you and Easeon shall be brought exclusively in the competent courts of Berlin, Germany, subject to any statutory rights granted to consumers under EU law.

You and Easeon agree to submit to the personal jurisdiction of these courts and waive any right to contest jurisdiction or venue based on inconvenience or forum non conveniens.

16.3 Mediation and Alternative Dispute Resolution (ADR)

If you are a resident of the European Union, you may also have the right to submit disputes for out-of-court settlement through an Alternative Dispute Resolution (ADR) process, such as:

. Schlichtungsstelle der Deutschen Gesellschaft für Recht und Informatik e.V. (DGRI)
www.dgri.de/schlichtungsstelle (or another authorized ADR body)

OR

. The European Online Dispute Resolution (ODR) Platform
Provided by the European Commission at:
Online Dispute Resolution | European Commission

Use of these platforms is voluntary unless otherwise required by law, and Easeon is not obligated to participate in any specific ADR process unless required under German or EU consumer law.

16.4 Injunctive and Equitable Relief

Notwithstanding the above, either party may seek urgent injunctive or equitable relief (such as to prevent unauthorized access, data misuse, intellectual property infringement, or service disruption) in any court of competent jurisdiction without first attempting informal resolution or ADR.

16.5 Statute of Limitations

To the extent permitted by applicable law, any claim or cause of action you may have relating to these Terms or the Service must be commenced within one (1) year after the cause of action arises; otherwise, it is permanently barred.
